Equipment Purchase Agreement & Release of Liability

BY COMPLETING THIS PURCHASE, THE BUYER ACKNOWLEDGES AND AGREES TO THE FOLLOWING TERMS:

1. Product Condition & Quality Assurance The Seller warrants that the Equipment is new and has undergone a documented quality control inspection prior to shipment. The Buyer acknowledges that this is a Final Sale. By purchasing via this e-commerce platform, the Buyer accepts the Seller’s inspection as sufficient and waives the right to a physical pre-purchase inspection.

2. Assumption of Risk: Regulated Products The Buyer acknowledges that the Equipment is intended for the commercial sale of products, which may include nicotine, tobacco, or other regulated substances.

  • Compliance: The Buyer is solely responsible for ensuring the machine’s placement and operation comply with all local, state, and federal laws.

  • Age Verification: The Buyer assumes all responsibility for implementing hardware or software required to prevent sales to minors.

3. Delivery and Acceptance The Seller is responsible for the Equipment until it is delivered to the shipping carrier.

  • Shipping Claims: Risk of loss passes to the Buyer upon delivery to the carrier. Any damage occurring during transit is the responsibility of the carrier, and the Buyer must report such damage within 24 hours of receipt to initiate a claim.

  • Acceptance: Powering on the machine constitutes final acceptance of the Equipment’s condition.

4. Full Release of Liability To the fullest extent permitted by law, the Buyer hereby releases, holds harmless, and forever discharges the Seller (including its officers and employees) from any and all claims, damages, or legal actions arising from:

  • Any mechanical or electrical failure occurring after the initial acceptance period.

  • Any health claims, injuries, or product liability issues related to items dispensed by the Equipment.

  • Fines, legal penalties, or license revocations resulting from the Buyer’s failure to comply with age-restricted product regulations.

5. Indemnification The Buyer agrees to indemnify and defend the Seller against any third-party claims, lawsuits, or losses (including legal fees) resulting from the Buyer’s use, placement, or commercial operation of the Equipment.

6. Governing Law This Agreement is governed by the laws of the State of Texas.

 

One-Year Limited Warranty – AI Nightlife Vending (AINLV) Machines

All AI Nightlife Vending (AINLV) machines include a 1-year limited warranty starting from the original date of purchase.

What This Warranty Covers

This warranty protects against defects in materials and workmanship under normal use, including:

  • Core internal components (motors, sensors, wiring, control boards)

  • Machine operating system and software functionality

  • Payment hardware, including card readers and communication modules

What This Warranty Does Not Cover

This warranty does not apply to damage resulting from:

  • Vandalism, theft, arson, or other intentional acts

  • Cosmetic damage, misuse, neglect, or improper handling

  • Damage caused by fire, flooding, power issues, or natural disasters

  • Repairs, alterations, or servicing performed by anyone not authorized by AINLV

Warranty Support & Service

During the warranty period, AINLV provides:

  • Complimentary replacement parts for covered issues

  • Remote technical support and troubleshooting

  • Free shipping for warranty-related parts

On-site service and technician labor are not included unless explicitly agreed to in writing.
